The International Practice Department has assisted major U.S. corporations in the acquisition and
corporate reorganization of foreign affiliates and subsidiaries in Central
and South America. Its efforts include the negotiation and consummation of joint
venture transactions and public offerings in Central and South
America and the continental United States, in conjunction with local
counsel. It specializes in corporate acquisitions and mergers at an
international level.
This Department was instrumental in achieving, for
the first time ever, government approval from the authorities in the
Republic of Argentina for the establishment of a stock option program for
the employees of a private business enterprise there. It was also the
focal point for the creation of joint venture between a major U.S.
bottling company and the largest brewery in the Republic of Chile. This
joint venture now operates in Argentina, Chile and Uruguay. In addition,
the International Practice Department was successful in negotiating and
structuring sophisticated financial arrangements with international banks
for the purpose of expanding the operations of a joint venture throughout
Brazil, Argentina, Chile, and Uruguay. It was also instrumental in the
structuring of bond offerings and finance lease arrangements in South
America. Finally, it has provided legal counsel to the joint
venture in matters having complex tax and accounting
ramifications on an international level.
The practice of
