The Corporate Finance and Banking Department,
is the transactional arm of the
law firm. It commands expertise
in the structuring,
negotiation, and
execution of a broad range of complex corporate and financial
transactions, including banking, mergers and acquisitions, municipal
finance, securities and real estate.
As main counsel to Puerto Rico's largest banking
institution, the Corporate Finance and Banking Department is engaged in
all facets of banking law practice and financing from retail and
commercial to corporate banking. Its broad experience in this field is
also tapped by other financial institutions when structuring transactions
in Puerto Rico.
This Department is also
a leader in the field of
municipal finance, regularly representing some of Puerto Rico's leading
investment banks and governmental authorities in the issuance of municipal
bonds. It has also been a leader in AFICA financing, the Puerto Rico
equivalent of industrial revenue bond financing. AFICA is the Spanish
language acronym for Puerto Rico's Industrial, Tourist, Education,
Medical, and Environmental Pollution Control Facilities Financing
Authority. An authority of the Commonwealth of Puerto Rico that engages in the
issuance of municipal bonds, for various private sector projects designed
to improve Puerto Rico's infrastructure, and its overall business climate. In
addition to acting as bond counsel and underwriter's counsel in connection
with these financings, the Department frequently acts as borrower's
counsel and letter of credit bank counsel, as well as legal counsel for
the various other parties that may participate in the issuance of
municipal bonds.
In providing services to investment banking firms, as
well as to other financial institutions, it has been engaged in the
development of financial products and related structures tailored to the
unique tax and legal environment of Puerto Rico. The Department has also
been a leader in tax exempt hospital bond financings in the local market,
as well as in the federal tax exempt field.
The Corporate Finance and Banking Department has also
rendered legal services in connection with the planning, financing, and
execution of major infrastructure projects sponsored by the Government of
the Commonwealth of Puerto Rico. Again, it has acted in the full gamut of
capacities often demanded of legal counsel, at times (under various
administrations) acting as counsel for
the Government of Puerto Rico while at other times acting as counsel for
businesses in the private sector. This department has played a significant
role in the structuring of the financing required (in an amount in excess
of $600,000,000) for the construction of a major cogeneration facility
that will provide electricity to the Puerto Rico Electrical Energy
Authority into the 21st century. It has also been actively involved in the
privatization drive undertaken by the Government of Puerto Rico.
